Terms and Conditions for Outport Reviews

1. Acceptance of Terms
By accessing or using Outport Reviews' platform ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our platform.
2. Service Description
Outport Reviews provides a platform for managing and enhancing online reviews for businesses. Our platform includes features such as review request automation, review monitoring, and reputation management tools to help businesses improve their online presence.
3. Account Registration
To access certain features of our platform, you must create an account. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activities that occur under your account.
4. User Conduct
You agree to use our platform in compliance with all applicable laws and regulations. You are solely responsible for the content you submit and agree not to:
- Engage in any activity that violates the rights of others
- Submit false, misleading, or fraudulent reviews
- Use the platform to harass, threaten, or impersonate others
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated scripts to access our platform without our express permission
5. Free Trial, Money-Back Guarantee, and Promotional Offers
Our "50 Free Reviews" offer is available to eligible businesses at our sole discretion. Eligibility assessment considers factors including but not limited to customer database size (typically requiring at least 300-500 previous clients depending on industry), industry type, review platform requirements, and business reputation. The free trial period lasts for 1 month from the activation date, beginning on the day your account is set up in our system and ending exactly 30 days later.
The free trial may include some or all of the following services at our discretion: review request tools, customer outreach (up to 500 emails maximum), custom landing pages, QR codes, or other review collection methods as determined appropriate for your business. Outport Reviews maintains full discretion regarding which specific review collection tools will be provided during the free trial.
The free trial service is provided for a period of 1 month, beginning on the day your account is set up in our system and ending exactly 30 days later. Outport Reviews does not guarantee any specific results, including the number of reviews received or star ratings, during this free trial period or any paid subscription period. We provide the option to comply with review platform policies, including the requirement to provide a "Leave a public review" option even for customers who initially indicate dissatisfaction. The user is responsible for maintaining legal outreach practices, adherence with review platform guidelines, in the user's operating jurisdiction, customer jurisdiction, and all other locations.
All paid subscribers qualify for our 30-day money-back guarantee if they do not receive 30 reviews through the Outport Reviews platform to the platforms agreed upon between Outport Reviews and the other parties during the qualification demo call. This money-back guarantee applies only to paid subscriptions and not to the free trial offer.
6. Subscription and Billing
6.1 Subscription Requirement
By subscribing to Outport Reviews, you agree to maintain the monthly subscription fee as specified at the time of signup. This fee is required to keep your account active and accessible.
6.2 Payment Terms
Subscription fees are billed in advance on a monthly basis. You authorize us to charge your chosen payment method for all fees incurred.
6.3 Non-Payment Consequences
If your monthly fee is not paid in full by the due date, we reserve the right to suspend and ultimately terminate your account. Upon termination, access to all features, data, and functionality will be restricted.
7. Cancellation Policy
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation, your service will remain active until the end of the current billing period, and no further charges will be incurred.
8. Intellectual Property
All custom landing pages, QR codes, email templates, and other materials created by Outport Reviews remain the intellectual property of Outport Reviews. During your subscription period, you are granted a limited license to use these materials solely for the purpose of gathering customer reviews. Upon termination of your subscription, this license expires, and you must cease using all Outport Reviews materials. You may not copy, modify, or reverse engineer any aspect of the Outport Reviews platform or materials.
9. Privacy Policy
Our Privacy Policy explains how we collect, use, and disclose your personal information. By using our platform, you consent to the collection and use of your information as described in our Privacy Policy. This includes how we handle both your business data and your customers' contact information used for review solicitation. All customer outreach is conducted in compliance with applicable privacy laws and regulations.
When you provide us with your customers' contact information for review solicitation purposes, you confirm that you have the legal right to share this information. We will use this information solely for the purpose of review solicitation and will not sell or share this data with third parties outside of the review process. Customer data is stored securely and in compliance with applicable data protection regulations. Upon termination of your account, customer data will be deleted from our active systems within 30 days.
When utilizing our email outreach services, customer data is processed securely through our review management system. Outport Reviews has access to monitor and review this data solely for the purposes of service provision, troubleshooting, and compliance verification. All data storage and processing complies with relevant Canadian data protection regulations, including PIPEDA (Personal Information Protection and Electronic Documents Act).
10. Disclaimer of Warranties
Our platform is provided on an "as is" and "as available" basis without any warranties, express or implied. Outport Reviews does not guarantee the accuracy, completeness, or reliability of any content or information provided through our platform. We cannot guarantee that you will receive only 5-star reviews or any specific number of reviews. While our system guides dissatisfied customers toward private feedback options, all review platforms maintain a "Leave a public review" option in compliance with their terms of service, which means negative reviews may still appear. Our system provides the option to comply with all review platform policies and terms of service, and any violation of those policies is at the risk and responsibility of the user.
11. Limitation of Liability
Outport Reviews shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of our platform or any services provided.
While Outport Reviews provides tools designed to comply with review platform terms of service, it is ultimately the user's responsibility to ensure their review solicitation practices adhere to each platform's specific requirements. Users assume all liability for any consequences resulting from inappropriate outreach, negative reviews, platform policy violations, or account restrictions imposed by review platforms. Outport Reviews bears no responsibility for platform-imposed penalties, including account suspensions or review removal, resulting from user actions or policy changes implemented by review platforms.
12. Modification of Terms
We reserve the right to modify these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting on our website. Your continued use of our platform constitutes acceptance of such changes.
13. Refund Policy
If you are not completely satisfied with our services within the first 30 days of your subscription, you may request a full refund. Refund requests must be submitted in writing to our customer support team within the specified timeframe. After 30 days, refunds will not be issued.
14. Price Changes
Outport Reviews reserves the right to modify its pricing plans at any time. Customers will be notified in advance of any changes to their subscription fees. Price changes will only apply to future billing cycles and will not affect current subscription periods.
15. Governing Law
These Terms and Conditions are governed by the laws of Newfoundland & Labrador, Canada, without regard to its conflict of law provisions.

When using our services, you agree to:

• Respond promptly to any Outport Reviews requests for information or clarification
• Comply with all applicable laws regarding customer outreach and communication
• Maintain honest business practices and not attempt to manipulate review systems
• Not pressure customers to leave positive reviews or discourage negative feedback
• Take responsibility for addressing legitimate customer concerns raised in reviews
18. Termination
18.1 Termination by Outport Reviews
Outport Reviews reserves the right to terminate or suspend your account and access to our services at any time, with or without cause or prior notice. Causes for termination may include, but are not limited to:
• Violation of these Terms and Conditions
• Fraudulent or deceptive practices
• Non-payment of subscription fees
• Abusive behavior toward staff or customers
• Misuse of the platform
18.2 Termination by Client
You may terminate your subscription at any time as outlined in our Cancellation Policy. Upon termination, your access to the Outport Reviews platform will end at the conclusion of your current billing cycle.

By using our services, you grant Outport Reviews permission to use your company name, logo, and any positive results achieved through our platform for marketing and promotional purposes. This includes but is not limited to case studies, testimonials, website content, and advertising materials. If you wish to opt out of such usage, you must submit a written request to our support team.
21. Dispute Resolution
Any disputes arising from or relating to these Terms and Conditions or your use of our services shall first be addressed through good faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in Newfoundland & Labrador, Canada, in accordance with the Arbitration Act of Newfoundland & Labrador. The decision of the arbitrator shall be final and binding on both parties.
22. Geographic Considerations
While Outport Reviews services are available throughout Canada, certain features may vary by region due to local regulations, review platform availability, or other factors. We strive to provide consistent service across all Canadian provinces and territories but cannot guarantee identical functionality in all locations. Users outside of Canada may access our services, but we make no representations that the platform complies with laws outside of Canada.
23. Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government restrictions, war, terrorism, riots, strikes, or service interruptions affecting cloud infrastructure providers. In the event of such force majeure, the affected party shall notify the other party as soon as reasonably possible and shall resume performance as soon as reasonably practicable.
24. Data Backup and Recovery
Outport Reviews implements reasonable data backup procedures to protect client information and review data. However, we recommend that clients maintain their own backup of important customer information. While we strive to maintain system uptime and data integrity, Outport Reviews cannot guarantee against data loss in all circumstances. In the event of data loss, our recovery efforts will be limited to restoring from the most recent viable backup, which may not include all recent activities or modifications.
